1. Agreement to Terms

By accessing or using AlphaTrak ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. You must be at least 18 years old to use this Service.

2. Description of Service

AlphaTrak is a trading research and execution platform that provides:

  • AI-powered stock and options analysis
  • Natural language search capabilities
  • Watchlist and alert management
  • Trading journal and portfolio tracking
  • Paper trading simulation
  • Live trading integration via supported brokers

Important: AlphaTrak is a software tool. We are not a broker-dealer, investment advisor, or financial planner. See our Disclosures page for important information about the nature of our service.

3. User Accounts

Account Creation

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and accept all risks of unauthorized access
  • Notify us immediately if you discover any unauthorized use of your account

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Fraudulent, abusive, or illegal activity
  • Manipulation or attempted manipulation of the Service
  • Non-payment of applicable fees
  • Request by law enforcement or government agencies

Upon termination, your right to use the Service will immediately cease. You may export your data (journal entries, watchlists) for up to 30 days after termination upon request.

4. Subscription and Payments

Billing

Paid subscriptions are billed in advance on a monthly or annual basis. You authorize us to charge your payment method for all fees associated with your subscription.

Free Trials

We may offer free trials at our discretion. At the end of the trial period, your payment method will be charged unless you cancel before the trial ends.

Refunds

Subscription fees are non-refundable except as required by law. If you believe you have been charged in error, contact us within 30 days of the charge.

Price Changes

We reserve the right to modify our pricing at any time. Price changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws
  • Attempt to gain unauthorized access to the Service or its related systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Share your account credentials with third parties
  • Scrape, harvest, or collect data from the Service without permission
  • Use automated systems (bots, scrapers) to access the Service beyond API limits
  • Redistribute market data or AI analysis to third parties
  • Use the Service to manipulate markets or engage in illegal trading activity

6. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are owned by AlphaTrak and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You retain ownership of any content you create using the Service (journal entries, custom alerts, notes). By using the Service, you grant us a limited license to store and process your content as necessary to provide the Service.

7. Third-Party Services

The Service integrates with third-party services including but not limited to:

  • Tradier — Brokerage services for live trading
  • Market data providers — Real-time and historical price data
  • AI/ML services — Analysis and natural language processing
  • Payment processors — Subscription billing

Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the actions of third-party service providers.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

AlphaTrak does not warrant that:

  • The Service will function uninterrupted, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • Any AI analysis, insights, or recommendations will be correct
  • Any defects in the Service will be corrected

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ALPHATRAK, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

  • Loss of profits, data, use, goodwill, or other intangible losses
  • Trading losses resulting from use of or reliance on the Service
  • Unauthorized access to or alteration of your transmissions or data
  • Statements or conduct of any third party on the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10. Investment Disclaimer

AlphaTrak does not provide investment advice. All analysis, insights, suggestions, and information provided through the Service are for informational and educational purposes only. They do not constitute:

  • Investment advice or recommendations
  • An offer or solicitation to buy or sell securities
  • A guarantee of future performance
  • Legal, tax, or accounting advice

You are solely responsible for your trading decisions. Past performance does not guarantee future results. Trading involves substantial risk of loss. Please read our full Disclosures for important risk information.

11. Indemnification

You agree to defend, indemnify, and hold harmless AlphaTrak and its licensees, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party right, including any copyright, trademark, or privacy right
  • Any trading decisions you make based on information from the Service

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Delaware.

13. Dispute Resolution

Any dispute arising from these Terms shall first be attempted to be resolved through informal negotiation. If the dispute cannot be resolved within 30 days, either party may initiate binding arbitration under the rules of the American Arbitration Association.

You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
